PLEASE READ THESE TERMS OF SERVICE ("AGREEMENT" OR "TERMS") CAREFULLY BEFORE ACCESSING OR USING THE CHESSKINGS PLATFORM. BY CREATING AN ACCOUNT, ACCESSING, OR USING THE PLATFORM IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

These Terms constitute a legally binding agreement between you ("User," "Player," or "you") and CK Holdings, Inc. ("ChessKings," "Company," "we," "us," or "our"), governing your access to and use of the ChessKings mobile application, website, and all related services (collectively, the "Platform").

1. ACCEPTANCE OF TERMS

By registering for an account, downloading the application, or otherwise accessing the Platform, you represent and warrant that: (a) you are at least eighteen (18) years of age, or the legal age of majority in your jurisdiction if higher; (b) you have the legal capacity to enter into this Agreement; (c) you are not prohibited by applicable law from participating in skill-based chess contests; (d) your use of the Platform complies with all applicable laws and regulations in your jurisdiction; and (e) you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. DESCRIPTION OF THE PLATFORM

ChessKings is a skill-based competitive gaming platform that enables registered users to participate in peer-to-peer chess contests. The Platform operates as a marketplace for skill-based chess contests and is not a gambling operator. All contest outcomes are determined solely by the relative skill of the competing players. The Platform utilizes third-party technology to facilitate peer-to-peer contest functionality. ChessKings retains full responsibility for all Platform rules, user agreements, and compliance obligations.

3. ELIGIBILITY

3.1 Age Requirements

The Platform is strictly restricted to individuals who are eighteen (18) years of age or older. In jurisdictions where the legal age of majority exceeds eighteen (18) years, you must meet that higher age requirement. ChessKings reserves the right to require age verification at any time and to suspend or terminate any account where age eligibility cannot be confirmed.

3.2 Geographic Restrictions

Access to Platform features varies by jurisdiction. ChessKings offers two modes of play (real-money contests and free-to-play contests), each subject to different geographic availability, which are covered under the Terms of Service for the third-party peer-to-peer technology.

Geographic availability is subject to change without prior notice as laws and regulations evolve, and ChessKings reserves the right to expand or restrict access in additional jurisdictions at any time.

3.3 One Account Per User

Each individual is permitted to maintain only one (1) active account on the Platform. The creation of multiple accounts by a single individual is strictly prohibited and will result in the permanent suspension of all associated accounts and forfeiture of any balances therein. ChessKings employs technical and administrative measures to detect and prevent multi-accounting.

4. ACCOUNT REGISTRATION AND SECURITY

Account registration and security are subject to the Terms of Service of ChessKings’ underlying peer-to-peer contest technology provider.

5. CONTEST RULES AND GAMEPLAY

5.1 Game Format

All contests on the Platform are conducted under the following standardized rules, which are incorporated into and form part of these Terms:

  • All games are played in Blitz 5 format, in which each player is allotted five (5) total minutes to complete all moves within a single contest.
  • Each contest must produce a winner. Draws and stalemates are not recognized as final outcomes under Platform rules. In the event a position would otherwise result in a draw or stalemate under standard chess rules, the chess engine will automatically determine a contest winner based on overall position, material advantage, or point differential, as applicable.
  • A player whose allotted time expires before checkmate occurs is automatically declared the loser of the contest.
  • A player who resigns during a contest is declared the loser of that contest.
  • A player who exits the application or disconnects from the Platform during an active contest without subsequently rejoining within any applicable reconnection window will be declared the loser and forfeit their contest entry amount.
  • All contests must be initiated and completed on the same physical device. Switching devices during an active contest constitutes a forfeit of the contest and loss of the entry amount.
  • Game Disputes are subject to the Terms of Service of ChessKings’ underlying peer-to-peer contest technology provider.
5.2 Reconnection

In the event of a verified application crash or Platform-attributable technical failure, players may rejoin an active contest within a limited reconnection window. The game clock continues to run during any period of disconnection, including the reconnection window. Players who successfully rejoin within the permitted window may continue the contest from the position at the time of disconnection, subject to their remaining clock time.

Disconnection resulting from a player's own device, network, or environment does not qualify for a reconnection window and does not entitle the player to a refund, time adjustment, or contest replay. ChessKings is not responsible for losses resulting from a player's failure to maintain connectivity or from disconnection outside of a verified Platform failure.

5.3 Entry Fees and Prize Structure

Participation in paid contests requires payment of an entry fee. A platform service fee of seven and one-half percent (7.5%) is deducted from the total prize pool prior to distribution of winnings to the contest winner. All other terms governing entry fee processing, prize pool calculation, and payout mechanics are subject to the Terms of Service of ChessKings' underlying peer-to-peer contest technology provider, which are presented to players at the time of contest entry.

5.4 Prohibited Conduct

The following conduct is strictly prohibited and may result in immediate account suspension, permanent ban, forfeiture of all account balances, and referral to law enforcement authorities:

  • Use of chess engines, artificial intelligence tools, computer assistance, or any automated program to assist in gameplay.
  • Use of any third-party assistance, coaching, or real-time advice during an active contest.
  • Collusion with an opponent or any third party to manipulate a contest outcome.
  • Creation or use of multiple accounts.
  • Exploitation of software bugs, glitches, or Platform vulnerabilities.
  • Fraud, misrepresentation, or any deceptive conduct in connection with the Platform.

ChessKings employs advanced cheat-detection technology to identify prohibited conduct. The use of artificial intelligence or third-party assistance during a contest may constitute a criminal offense under applicable local, state, and federal law. ChessKings reserves the right to report credible evidence of such conduct to appropriate law enforcement authorities for investigation and potential prosecution.

5.5 Connectivity Requirements

Players are solely responsible for maintaining a stable internet connection throughout the duration of each contest. A lost connection does not pause the game clock. ChessKings is not responsible for losses resulting from a player's failure to maintain connectivity, and such losses do not entitle the player to a refund or replay.

6. PAYMENTS, DEPOSITS, AND WITHDRAWALS

Deposits, withdrawals, payment processing, and related financial transactions are facilitated through ChessKings' underlying peer-to-peer contest technology provider and are subject to that provider's Terms of Service, which govern the mechanics of all financial transactions on the Platform. The following terms reflect ChessKings' policies and obligations as they relate to your account and your use of the Platform.

6.1 Deposits

Users may fund their Platform account using payment methods made available on the Platform by the third-party peer-to-peer contests technology. All deposits are subject to verification and may be subject to minimum and maximum limits. ChessKings reserves the right to reject any deposit at its sole discretion.

6.2 Withdrawals

Users may request withdrawal of available funds subject to applicable verification requirements and withdrawal limits. ChessKings reserves the right to withhold or delay withdrawals pending completion of identity or payment verification, or where ChessKings has a reasonable basis to believe that account activity is fraudulent or violates these Terms.

6.3 Refund Policy

Entry fees are non-refundable once a contest has commenced. If a contest fails to start due to a verified Platform error solely attributable to ChessKings, affected entry fees will be credited to the user's Platform account balance. ChessKings does not provide cash refunds of entry fees under any other circumstances.

6.4 Taxes

You are solely responsible for all taxes, duties, and charges applicable to any winnings you receive through the Platform. ChessKings may be required by applicable law to collect tax identification information and to report certain winnings to taxing authorities. You agree to provide any requested tax documentation in a timely manner.

7. PLATFORM CONDUCT AND COMMUNITY STANDARDS

Users are expected to conduct themselves with respect and sportsmanship at all times. ChessKings reserves the right, in its sole discretion, to suspend or permanently terminate any account for conduct that violates these Terms or the spirit of fair and respectful competition, including without limitation:

  • Use of abusive, offensive, threatening, or discriminatory language.
  • Harassment or intimidation of other users.
  • Impersonation of any person or entity.
  • Any conduct that disrupts the experience of other users on the Platform.

8. INTELLECTUAL PROPERTY

All content on the Platform, including the ChessKings name, logo, trademarks, software, graphics, user interface design, and all related materials (collectively, "Company Content"), are the exclusive property of ChessKings or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any Company Content without ChessKings' prior written consent.

9. DISCLAIMERS

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. CHESSKINGS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHESSKINGS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY. IN NO EVENT SHALL CHESSKINGS' AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL ENTRY FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless ChessKings and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you submit to or through the Platform.

12. DISPUTE RESOLUTION AND ARBITRATION

12.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact ChessKings at legal@chesskings.com and attempt to resolve the dispute informally. ChessKings will attempt in good faith to resolve the dispute within thirty (30) days of receiving written notice.

12.2 Binding Arbitration

If informal resolution is unsuccessful, you and ChessKings agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Las Vegas, Nevada. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND CHESSKINGS EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING WITH RESPECT TO ANY CLAIM RELATING TO THE PLATFORM OR THESE TERMS.

12.4 Governing Law

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles, except to the extent preempted by the Federal Arbitration Act.

13. MODIFICATIONS TO TERMS

ChessKings reserves the right to modify these Terms at any time. When we make material changes, we will update the Effective Date at the top of this Agreement and, where appropriate, provide additional notice via in-app notification or email. Your continued use of the Platform following the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to modified Terms, you must discontinue use of the Platform and may close your account.

14. ACCOUNT TERMINATION

ChessKings reserves the right to suspend or terminate your account and your access to the Platform at any time, with or without notice, for any reason, including without limitation your violation of these Terms. Upon termination for cause, any funds remaining in your account may be forfeited. You may voluntarily close your account at any time by navigating to the Platform edit profile page. Termination does not limit ChessKings' right to pursue any other remedies available at law or in equity.

15. MISCELLANEOUS

Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and ChessKings with respect to the Platform and supersede all prior understandings, representations, or agreements.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. ChessKings' failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without ChessKings' prior written consent. ChessKings may assign its rights and obligations under these Terms without restriction.

Force Majeure. ChessKings shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, government action, or internet service disruptions.
